This contract is made between the Experimental Print Imaging Center of the Art Department, University at Buffalo, hereinafter, "EPIC" and the "Artist", named below for the following printing and production services:

A. EPIC reserves the right to decline or discontinue projects that require an excessive expenditure of time, physical or monetary resources, or which could damage equipment. Works or practices which might create legal difficulties or which stand in violation of the ethical standards of fine art printmaking shall not be undertaken.
B. The Experimental Print Imaging Center shall receive payment of one-third (33%) of the total contract price upon initiation of project with the balance due upon completion. If the Artist refuses to authorize EPIC to print the edition within ten (10) days after completion of proofing, this contract shall be deemed terminated and EPIC has the right to efface any or all printing elements and retain the down payment as liquidated damages. If the Artist at any time thereafter refuses to cooperate in the production of the work to be performed pursuant to this Agreement, EPIC may elect to terminate this Agreement.
C. It is understood by the Artist that this project is intended to be a learning exchange between the Artist and the Students at the University at Buffalo, and that students will be participating in the project. While every reasonable attempt will be made to produce an edition of prints suitable to the artist, no guarantee can be made that this will occur. If failure to produce the edition is due primarily by the fault of EPIC, the Artist may choose to terminate the project, with any deposits made up until that point to be forfeited to EPIC. Or, the Artist may choose to continue with the project, but must be willing to re-draw any lost printing elements, if required. In the later case, additional consumable materials needed to reprint the edition will be the responsibility of EPIC. In no case will EPIC be responsible for reprinting any edition that reasonably resembles the signed Approval to Print.
D. Artist agrees to sign the edition no later than five (5) days after the work has been completed, at which time, the balance of the Total Contract Price shall be due and payable. If the balance of the Total Contract Price is not paid within ten (10) days after it is due, EPIC, in addition to any and all rights provided herein, shall be deemed to have full rights of ownership of the artwork, signed or unsigned, which is the subject of this agreement. EPIC retains a security interest in the prints which are the subject of this agreement, and is entitled to possession thereof until final payment is made.
E. The Artist and EPIC agree that EPIC shall be entitled to receive the following signed prints from the project in addition to the Total Contract Price: One (1) Bon a Tirer (B.A.T.); One (1) Printer's Proofs (P.P.) for each Printing Assistant helping on the project, not to exceed three (3); and Two (2) Archival Impressions (AR. I.). Trial Proofs, Color Trial Proofs, and State Proofs (if any) will be split equally between the Artist and the EPIC for teaching purposes. Separation, Color Separation or Progressive Proofs (if any) may be made at the expense of EPIC and discretion of the Project Supervisor for teaching purposes and will become property of UB. All impressions that leave EPIC must bear the UB chop or blindstamp. Placement of the chop will be determined by the Artist.
F. EPIC assumes no responsibility for packing or shipping of prints.
G. The Artist of Publisher has an insurable interest in the prints as soon as they come into being, and EPIC has no obligation to insure and no risk of loss whatsoever with regard to those prints.
H. In so far as it is possible, EPIC uses inks that are lightfast and stable. However, all colors are not uniformly permanent and some mixtures tend to reduce permanence. Out policy is to use the best inks available, but we can not provide warranties relative to their permanence.
I. Artists are encouraged to retain copyright on their own works by inscribing a " adjacent to their signatures. However, implicit to the conditions of undertaking projects in the EPIC is the right of the EPIC to reproduce any works done there for publicity and/or archival purposes (slides, catalogs, etc.,) with the understanding that due copyright notice will be sent forth.

J. None of the provisions of this Agreement may be changed unless done so in writing and signed by all parties or their authorized agents. Any changes in project specifications shall be accepted by EPIC only upon written authorization, acknowledging the additional charges, if any.
K. This contract may not be voluntarily canceled or terminated by the Artist or Publisher with EPIC's express written consent, and is subject to protection of Printer against all losses incurred thereby.
L. This agreement is subject to the current Policies, Workshop Practices and Terms of the Experimental Print Imaging Center on file with EPIC.
M. The Experimental Print Imaging Center of the Department of Art, Faculty of Arts and Letters, University at Buffalo, is a not-for-profit educational institution. All proceeds are used for upkeep, repair, replacement of equipment and consumables, and for programming which directly benefits students of the University at Buffalo.
